Subscription to Último tercio and Contraquerencia's digital services
1 · Identification of the provider
For the purposes of articles 10 of Law 34/2002 on Information Society Services and Electronic Commerce (LSSI-CE), 97 of the Consolidated Text of the General Law for the Defence of Consumers and Users (TRLGDCU) and related provisions, the service provider is identified as:

2 · Purpose of the contract
These General Terms and Conditions (hereinafter, the "GTC") govern the terms on which Contraquerencia Cultura Taurina, S.L. (hereinafter, the "Provider" or "Contraquerencia") makes the following digital services available to the user (hereinafter, the "Subscriber"):
- The newsletter Último tercio, a periodical digital publication of cultural content, edited by Mr Antonio J. Pradel as editorial director, in its free and paid forms.
- Access to complementary areas and contents that may be enabled on the site contraquerencia.com for paid Subscribers (archive, library, reserved-access events and the like).
Contracting any of the above services implies full and unreserved acceptance of these GTC, the Legal Notice, the Privacy Policy and the Cookie Policy, which form an integral part of the contract.
3 · Plans and prices
Contraquerencia offers three subscription plans to Último tercio:

The prices shown include the Value Added Tax applicable to digital periodical publications of cultural content (currently the super-reduced rate of 4%, art. 91.Two.1.2 of Law 37/1992 on VAT), without prejudice to its update should the applicable tax regulations change. The Provider reserves the right to revise prices for new sign-ups, always respecting the Founder Subscriber's price under the terms of section 8.
4 · Contracting process
Contracting any of the plans is carried out entirely through the website and comprises the following steps:
- Completion of the subscription form with the required data (first name, surname and email; for paid plans, billing and payment data).
- Reading and express acceptance of these GTC and the Privacy Policy by ticking the corresponding box.
- For paid plans, selection of the means of payment and authorisation of the charge.
- On-screen confirmation and sending of a subscription confirmation email, to which a copy of the accepted GTC is attached.
The contract is concluded at the moment the Subscriber receives the confirmation by email. Before final confirmation, the Subscriber may review and correct the data entered at any time. The language of contracting is Spanish, without prejudice to translated versions being made available for information purposes, the Spanish version always prevailing. The Provider keeps an electronic copy of the contract concluded and may provide it to the Subscriber at any time upon request to info@contraquerencia.com.
5 · Subscriber requirements
To contract the services, the Subscriber declares and warrants: to be of legal age (18) and to have full legal capacity to contract; that the data provided are truthful, accurate, complete and up to date, undertaking to keep them updated; that, where applicable, they are the holder of the means of payment used or duly authorised to use it; and that they will use the services in good faith, in accordance with these GTC and applicable law.
6 · Payment, invoicing and taxes
6.1 · Means of payment
Payments are made through the payment gateway Stripe Payments Europe, Ltd. (Ireland), which accepts debit and credit cards of the main international networks and, where enabled, SEPA direct debit. Card data are never accessible to the Provider: they are transmitted directly to Stripe in a secure environment compliant with PCI DSS standards.
6.2 · Time of charge
For paid subscriptions, the charge is made fully in advance at the time of contracting and on each annual renewal, unless another regime is expressly agreed in writing.
6.3 · Invoice
The Provider will issue a simplified electronic invoice for each charge, which will be sent to the Subscriber's email and available in their personal area. A Subscriber wishing to receive a full invoice with their tax details must provide them at the time of contracting or, subsequently, through info@contraquerencia.com, within the legal rectification period.
6.4 · Non-payment
In the event of non-payment or chargeback, the Provider may suspend access to the reserved contents and, after 15 calendar days without regularisation, automatically terminate the contract.
7 · Duration, renewal and cancellation
Paid plans have an initial duration of twelve (12) months from the date of activation, and renew automatically for equal periods unless the Subscriber gives notice to the contrary at least fifteen (15) calendar days before expiry, in accordance with art. 62.3 TRLGDCU. The Provider will notify by email, at least 30 calendar days in advance, of the upcoming renewal, its amount and the instructions to cancel it at no additional cost.
Cancellation may be processed: from the Subscriber's personal area on the website; or by sending an email to info@contraquerencia.com stating name, sign-up email and cancellation request. Cancellation takes effect at the end of the current annual period already paid, the Subscriber keeping full access until that date. Outside the withdrawal period in section 9, no proportional refund of the annual amount already paid is due, except for causes attributable to the Provider. The free plan has an indefinite duration and may be cancelled at any time from the personal area or via the unsubscribe link included in each delivery (art. 22 LSSI-CE).
8 · Limited Founder places
The Founder plan is limited to the first one hundred (100) people who successfully complete their contracting and is applied in order of conclusion of the contract, according to the Provider's internal record, whose validity the parties expressly accept. As long as the Founder Subscriber keeps their subscription uninterrupted, they will retain the price of €59 / year (or the amount in force on their sign-up date, if lower) on successive renewals, with the Standard price increases not applying to them. If the Founder Subscriber cancels, any subsequent re-subscription will be processed at the Standard price in force at that time, unless the Provider exceptionally decides to open a new window of places.
9 · Right of withdrawal
In accordance with art. 102 TRLGDCU, the consumer Subscriber has a period of fourteen (14) calendar days from the conclusion of the contract to withdraw without justification and without any penalty.
9.1 · How to withdraw
To exercise the right of withdrawal the Subscriber may: use the official model included as Annex I to these GTC (not mandatory); or send any other unequivocal declaration of withdrawal to info@contraquerencia.com within the period. It is sufficient to send the communication before the deadline for the withdrawal to be considered timely.
9.2 · Effects of withdrawal
The Provider will refund all payments received, without undue delay and in any case within 14 calendar days of the communication, using the same means of payment used unless otherwise agreed. In no case will the refund incur fees for the Subscriber.
9.3 · Exception applicable to digital content (art. 103.m TRLGDCU)
Where the supply of the digital service begins before the end of the 14-day period, the Subscriber loses the right of withdrawal provided that the following have occurred cumulatively: their express consent to the immediate start of supply; their express acknowledgement that, on starting performance, they lose the right of withdrawal; and the Provider's confirmation of that acknowledgement under art. 98.8 TRLGDCU. During the contracting process this double consent will be requested via two separate, non-pre-ticked boxes. If the Subscriber does not tick those boxes, the supply of the service will not begin until day 15 and the right of withdrawal will be retained in full.
10 · Provision of the service
Último tercio is distributed by email and/or in the Subscribers' area with a reference fortnightly frequency (two deliveries per month), without prejudice to extraordinary deliveries or double issues justified on editorial grounds. The summer break will not, as a general rule, exceed four consecutive weeks. The Provider reserves the right to modify the format, length, sections and distribution channel of Último tercio provided this does not distort the contracted service or substantially diminish its value to the Subscriber. The correct functioning of the service requires the Subscriber to keep the email provided operational and that deliveries are not filtered as spam.
11 · Intellectual property
All contents of Último tercio and of the website (texts, images, illustrations, design, code, trademarks, logos and distinctive signs) are the property of the Provider or of the authors who have assigned their rights, in particular Mr Antonio J. Pradel as editorial director, and are protected by Spanish and international intellectual and industrial property law. By subscribing, the Provider grants the Subscriber a personal, non-exclusive, non-transferable and limited licence for access, download and private reading of the contents during the term of the contract. The following are expressly prohibited:
- Reproducing, distributing, publicly communicating or transforming the contents, in whole or in part, without the Provider's written authorisation.
- Sharing access credentials or the personal delivery link with third parties.
- Using the contents to train artificial intelligence systems, or carrying out scraping, data mining or other automated uses, without express authorisation.
- Removing or modifying intellectual property signs or legal notices.
Brief quotations and direct links to the public pages of the site are permitted provided they are correctly attributed to Contraquerencia / Último tercio.
12 · Acceptable use and cancellation for breach
The Subscriber undertakes to use the services in accordance with the law, good faith and these GTC, refraining in particular from: impersonating third parties or providing false data; introducing viruses, malicious code or compromising the security of the site; using the services for unauthorised commercial purposes, unfair competition or purposes contrary to public order. Breach of these obligations or of sections 11 and 12 will entitle the Provider to unilaterally suspend or cancel the subscription, after warning by email where reasonable. Cancellation for cause attributable to the Subscriber will not give rise to a refund.
13 · Warranties and liability
The Provider will use reasonable diligence to ensure that the service is continuous and the contents truthful, current and suitable for the contracted service, in accordance with articles 115 bis et seq. TRLGDCU on digital content and services. The Provider does not guarantee the uninterrupted availability of the website or the delivery service; interruptions may occur due to maintenance, provider incidents or force majeure. Significant unscheduled interruptions will give rise, where appropriate, to the compensation provided for in art. 117 TRLGDCU. In any case, and except in cases of wilful misconduct, gross negligence or damage to life, physical integrity or health, the Provider's total liability towards the Subscriber on any account will be limited to the amount actually paid by the Subscriber in the twelve months preceding the triggering event.
14 · Modification of the terms
The Provider may modify these GTC for objective reasons (regulatory changes, service improvements, reorganisation of the project). Modifications will be communicated to the Subscriber by email at least 30 calendar days before their entry into force. If the modification entails a substantial change that negatively affects the Subscriber, they may terminate the contract without penalty within 30 days of the communication and obtain a proportional refund of the period not enjoyed. Continued use of the service after the modifications take effect implies acceptance of them.
15 · Protection of personal data
The processing of the Subscriber's personal data is governed by the site's Privacy Policy, which forms an inseparable part of these GTC. The data controller is Contraquerencia Cultura Taurina, S.L. The Subscriber acknowledges having read and accepted that Policy prior to contracting and, in accordance with art. 21 LSSI-CE, gives consent to receive the commercial communications associated with the service, being able to revoke it at any time via the unsubscribe link or by communication to privacidad@contraquerencia.com.
16 · Customer service and complaints
The Subscriber may address any query or complaint to info@contraquerencia.com, stating their identification details and the reason for the complaint. The Provider will acknowledge receipt within a maximum of 5 business days and resolve it within a maximum of one month from receipt. In addition, the consumer Subscriber has the European Online Dispute Resolution platform available at ec.europa.eu/consumers/odr, in accordance with Regulation (EU) 524/2013. The Provider is not adhered to any consumer arbitration system, unless otherwise stated in this document.
17 · Assignment and subcontracting
The Subscriber may not assign their contractual position without the Provider's written consent. The Provider may assign the rights and obligations arising from the contract in the context of corporate transactions (merger, spin-off, transfer of a line of business) or to third parties assuming continuity of the service, with prior notice to the Subscriber of at least 30 calendar days, entitling them to terminate the contract without penalty if they do not accept the assignment. The Provider may use processors (newsletter provider, payment gateway, hosting, email) under art. 28 GDPR, with whom the corresponding processing agreements will be signed.
18 · Force majeure
Neither party will be liable for failure to perform its obligations due to force majeure or fortuitous events under art. 1,105 of the Civil Code, including generalised outages of third-party services essential for provision. The affected party will inform the other of the cause and its estimated duration and will resume performance as soon as the event ceases.
19 · Partial nullity and integrity
If any clause of these GTC is declared null or ineffective, the rest of the clauses will remain in force and will be interpreted having regard to the purpose of the contract and the will of the parties. The affected clause will be replaced by another which, being lawful, reflects as far as possible the intended economic effects.
20 · Applicable law and jurisdiction
These GTC are governed by Spanish law. For any disputes arising from the contract, the parties submit: where the Subscriber is a consumer, to the Courts and Tribunals of the Subscriber's domicile, in accordance with art. 90.2 TRLGDCU and art. 52.3 of the Civil Procedure Act; where the Subscriber is not a consumer, to the Courts and Tribunals of the city of Madrid, expressly waiving any other jurisdiction that might correspond to them.
